The C Drop - Terms of Use

THE C DROP INCLUDES AUTOMATICALLY RENEWING SUBSCRIPTION SERVICES. AT THE BEGINNING OF EACH SUBSCRIPTION PERIOD, CLAIRE’S WILL AUTOMATICALLY CHARGE A PAYMENT METHOD THAT CLAIRE’S HAS ON FILE FOR YOUR ACCOUNT, UNLESS YOU CANCEL OR WE TERMINATE YOUR ACCOUNT, AS DESCRIBED IN THESE TERMS.

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS REQUIRE THAT YOU ARBITRATE ANY DISPUTES YOU HAVE WITH US AND YOU WAIVE THE ABILITY TO BRING CLAIMS AGAINST US IN A CLASS ACTION FORMAT.


These C Drop Terms of Use (the “Terms”) are Additional Terms, subject to Claire’s Terms of Use, available at https://www.claires.com/us/ts-and-cs.html (the “Terms of Use”) and constitute a legally binding agreement between you (“you”, “your”, or “user”) and Claire’s Stores Inc. (“Claire’s”, “we”, “us”, “our”), that governs your purchase and use of a C Drop automatically renewing subscription service requiring recurring payments (each, a “Subscription”) initiated or completed on claires.com (the “Site”). Your purchase and use of the Subscription is also subject to Claire’s Privacy Policy, available at https://www.claires.com/us/privacy-policy.html (the “Privacy Policy”). The Terms of Use and Privacy Policy are expressly incorporated herein. If there is any conflict between the Terms of Use or the Privacy Policy and these Terms, these Terms will control with respect to their subject matter. Any defined terms contained herein shall have the same meaning as those in the Terms of Use or the Privacy Policy, as applicable. You may use the Subscription only in compliance with these Terms, the Terms of Use, the Privacy Policy and all applicable laws and regulations. IF YOU DO NOT AGREE TO BE BOUND BY SUCH, YOU MAY NOT PURCHASE OR USE THE SUBSCRIPTION.

1. Subscription & Payment


The Subscription consists of an initial seasonal product box and an additional seasonal product box sent out quarterly thereafter – Back to School, Holidays, Spring, and Summer – as illustrated in the following chart:

* If the current season’s box is sold out, the subsequent season’s box will be the first box you receive (on the subsequent season box shipment date).

Your Subscription period will automatically renew each “season” (i.e., calendar quarter), as illustrated above. For example, if the initial date of purchase is January 20, your Subscription will renew on March 15, and then renew again on June 15, and so on (unless you cancel or we terminate your account, as described in these Terms).
By signing up for the Subscription and providing Claire’s with your payment information, you agree that: (a) you will be charged your first Subscription fee and any applicable taxes on the date you purchase the Subscription, unless, however, you purchase the Subscription in the fifteen (15) days prior to the first shipment date of the applicable season’s box (as noted in the above chart), in which case you will be charged your first Subscription fee on the first shipment date (for example, if you purchase the Subscription on December 1, you will be charged your first Subscription fee on December 15); (b) you authorize Claire’s and its service providers to store your payment method for the purpose of executing future Subscription auto-renewal transactions; (c) unless you cancel, your Subscription will automatically renew at the start of each subscription period (with prior notice only to the extent required by applicable law or otherwise provided by us, in our sole discretion), and (d) at the time of renewal, Claire’s will automatically charge the then-current Subscription fee and any applicable taxes to an eligible payment method that we have on file for you. If you would like to use a different payment method or if there is a change in payment method, please update your billing information. Claire’s may cancel your Subscription with or without notice if your payment method is invalid for any reason.

2. Cancellation & Refund Policy


You can cancel your Subscription at any time, by logging into your account on the Site and following the cancellation instructions given. You must cancel before the billing date of your Subscription renewal. This means that you must cancel before the billing date for the next season’s product box. There are no cancellation fees. Canceling your Subscription does not provide you with a refund for Subscription payments already processed, and does not stop a pending charge. You may also temporarily pause your Subscription by logging into your account on the Site and following the instructions given to pause your Subscription. After such pause, your Subscription will, by default, automatically renew at the start of following subscription period
Except as set forth herein and subject to applicable laws, Subscription subscribers are not eligible for refunds on any charges incurred for the Subscription, unless otherwise determined by Claire’s in its sole discretion. Subscription product boxes are not eligible for returns or exchanges. It is your sole responsibility (a) to timely cancel your subscription if you wish to prevent future charges for your Subscription and (b) to review all charges incurred in connection with your Subscription. Subject to applicable laws, you must contact Claire’s in the event of a dispute regarding a Subscription charge within sixty (60) days of the date of such charge. After such sixty (60) day period, you fully waive, release, and discharge all rights with respect to any amounts subject to such dispute, and Claire’s is fully released from any and all related liability. Claire’s is not responsible for overdraft fees that may be incurred. If you have questions, wish to dispute a charge related to your purchase or use of the Subscription or are unsure about when the next scheduled payment will occur, please contact Claire’s (as described in Section 9 of these Terms).

3. Promotional Offers


From time to time, Claire’s may offer some customers discounts and/or promotional offers relating to the Subscription (“Promotional Offers”). Such Promotional Offers are subject to these Terms, unless otherwise stated. Promotional Offers applied at purchase of the initial Subscription term or advertised by us at the time of renewal are not applicable to automatic renewal purchases, unless stated otherwise.

4. Changes to the Subscription


We reserve the right to adjust pricing for the Subscription or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes or other material changes to your Subscription will take effect following notice to you. Your continued use of the Subscription after the change becomes effective will constitute your acceptance of the change. If you do not wish to continue subscribing with the applicable change, you may cancel your Subscription within the specified notice period.

5. Additional Terms


You must create an account on the Site to purchase and manage a Subscription, subject to our Terms of Use. Your Subscription cannot be transferred or assigned. Claire’s reserves the right to refuse, suspend, or cancel your Subscription, or any part of it, for any reason at any time in its sole discretion without notice. We reserve the right to update these Terms at any time without prior notice. Continued use of the Subscription after any modification shall constitute consent to such modification.

6. Dispute Resolution – ARBITRATION AND CLASS ACTION WAIVER


If a dispute arises between you and Claire’s, you and Claire’s agree, as permitted by applicable law, to resolve any claim or controversy at law or equity arising out of, relating to, or connected in any way with these Terms through binding arbitration or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly at legal@claires.com to seek a resolution. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.
Certain portions of this section are deemed to be a “written agreement to arbitrate” pursuant to the Federal Arbitration Act. You and Claire’s agree that we intend that this section satisfies the “writing” requirement of the Federal Arbitration Act. This section can only be amended by mutual agreement.
If any controversy, allegation, or claim relates in any way to these Terms (collectively, “Dispute”), then you agree the Dispute shall be submitted to confidential arbitration in Illinois except that we may seek injunctive or other appropriate relief in any state or federal court. You hereby consent to, and waive, all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in the state and federal courts of Illinois. Arbitration under these Terms of Sale shall be conducted pursuant to the Commercial Arbitration Rules then prevailing at the American Arbitration Association; any dispute shall otherwise be governed by the internal laws of the State of Illinois without regard to Illinois choice of law principles, except that the provisions of this agreement concerning arbitration shall be governed by the Federal Arbitration Act. The arbitrability of disputes shall be determined by the arbitrator. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND CLAIRE’S BOTH AGREE TO GIVE UP THE RIGHT TO A JURY TRIAL. YOU AND CLAIRE’S AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Unless you and Claire’s agree, no arbitrator or judge may consolidate more than one person’s claims or otherwise preside over any form of a representative or class proceeding, consolidated action or private attorney general action.

7. Disclaimers and Warranties


We may publish advice, FAQs, suggestions, or other recommendations on the Site in relation to the Subscription or use, handling, and care of certain products or items contained within a seasonal product box. These statements are not a warranty or promise of how a product or item will ship, look like, work, or last. Such advice is solely meant as a recommendation. We also may take steps to address your satisfaction with packaging and delivery by including descriptions of our practices on the Site. Such descriptions are not a warranty or promise of how Subscription packaging or deliveries will occur.

8. Governing Law and Jurisdiction


The Site is operated from the U.S. All matters arising out of or relating to your Subscription or these Terms are governed by and construed in accordance with the laws of the State of Illinois without regard to its conflicts of law provisions that might apply the laws of another jurisdiction.
